INTRODUCTION

Scribe Software Corporation (hereinafter referred to as "Scribe") is committed to respecting your online privacy and recognizes your need for appropriate protection and management of any Personal Information (as defined below) you share with us. Scribe wants to maintain your confidence in the handling of any Personal Information that is collected during your visit to a Scribe online site, web page or any other Scribe online forums or communications.

Scribe has established this Online Privacy Policy (the "Privacy Policy") to inform you of their practices and policies regarding the collection, use, maintenance, and disclosure of your Personal Information and details how Scribe safeguards the Privacy of its online visitors and customers. This Privacy Policy does not apply to information that may be collected by Scribe off-line.

"Personal Information" means any information that may be used to identify an individual, including, but not limited to, a first and last name, a home or other physical address or telephone number and an e-mail address or other contact information, whether at work or at home.

Because Scribe gathers Personal Information about users, the Privacy Policy described in the following Sections sets forth the terms and conditions pertaining to the capture and use of that information.

PERSONAL INFORMATION COLLECTED BY SCRIBE

Scribe gathers and collects Personal Information about users in a number of ways, including but not limited to, the following methods:

  • Information that users provide through optional, voluntary submissions on Scribe's online sites, as further discussed in the next Section "Optional Voluntary Information". These are voluntary submissions to, among other things; 1) receive electronic newsletters; 2) participate in message boards or forums; 3) use the "e-mail this to a friend link"; and 4) download white papers.
  • Information Scribe gathers through aggregated tracking information derived primarily by tallying page views throughout their various sites. Tracking technologies may record information such as Internet domain and host names; browser software and operating system types; clickstream patterns; and dates and times the sites are accessed. This information allows Scribe to tailor its content to users needs and better understand their audience's preferences thereby improving their online experience. Scribe may also analyze information that does not contain Personal Information for trends and statistics.

OPTIONAL VOLUNTARY INFORMATION

Scribe offers a variety of free online services, including those listed below, which require voluntary submission of Personal Information by users. If you choose not to provide the Personal Information requested, you can still visit most of Scribe's online sites, but you may be unable to access certain options, offers, and services that involve Scribe's interaction with you. If you do not agree with this Privacy Policy, you should not provide the requested information.

1. Electronic newsletters policy
Scribe offers a free online electronic newsletter to customers and resellers. Scribe gathers Personal Information of users who voluntarily subscribe. Users may remove themselves from this mailing list by following the link provided in each newsletter that points users to the subscription management page. Scribe will comply with removal requests as soon as is reasonably possible.

2. Message boards/forums policy
Users of Scribe's online Message Boards and Forums must register for these services (both are free of charge) in order to post messages. During the registration process the user is required to supply certain Personal Information, including but not limited to, a username, password, and e-mail address.

3. "E-mail this to a friend" policy
Scribe's customers and resellers may choose to electronically forward a newsletter to someone else by clicking the "e-mail this to a friend" link. The user is required to provide the user's e-mail address, as well as the e-mail address of the recipient. This information is used in the case of transmission errors and to let the recipient know who sent the e-mail. The information is not used for any other purpose.

4. Surveys
Scribe may occasionally conduct user surveys to better target the content to their audience and improve the services to Scribe's users. Scribe does not disclose, rent or share information received from or about an individual user with third parties, unless otherwise stated in this Privacy Policy.

MAINTENANCE & TRANSMISSION OF DATA AND INFORMATION

Although Scribe uses reasonable efforts to maintain the privacy of your Personal Information, due to technological limitations, and the risk of unlawful interceptions and accessing of transmissions and/or data, Scribe cannot guarantee, and you should not expect, that your Personal Information, and any other electronically communicated information, will be absolutely confidential.

CHILDREN

In compliance with the Federal Children's Online Privacy Protection Act of 1998 (COPPA) none of Scribe's online sites, web pages, forums or other forms of electronic communication are directed at children under the age of 13. If you are younger than 13 years of age, please do not provide any Personal Information in connection with your use of Scribe's online sites.

USAGE TRACKING

Scribe tracks user traffic patterns throughout all of their online sites which allow them to tailor the content to users' needs and better understand their preferences and improve their online experience. Tracking technologies may record information such as Internet domain and host names; browser software and operating system types; clickstream patterns; and dates and times the site is accessed. Scribe does not correlate this information with Personal Information about individual users. Scribe does, however, analyze overall usage statistics according to a user's domain name, browser type, and MIME type by reading this information from the browser string (information contained in every user's browser). Scribe does not disclose, share, release, publish, disseminate, rent or sell any Personal Information to third parties but does use the usage statistics in an aggregate form, which is not Personal Information.

COOKIES

Scribe may place a text file called a "cookie" in the browser files of your computer. "Cookies" are small data files that are written to and stored on your hard drive when you visit a web site. The cookie itself does not contain Personal Information although it will enable Scribe to relate your use of their online sites to Personal Information that you have specifically and knowingly provided. Like most sites, Scribe uses cookies to personalize a user's experience of their online sites and to track user traffic patterns.

Most web browsers allow the user to be notified upon the proposed installation of a cookie and the user can decline the cookie. Even if you decline the cookie, you may continue to have full use of Scribe's online sites.

USE OF INFORMATION

Scribe uses any information voluntarily provided by users to improve services to and understand their users, to enhance their experience in Scribe's network of online sites, whether to provide interactive or personalized elements on the online sites or to improve the content and functionality of their various sites based on the interests of their users.

Scribe uses information that users voluntarily provide in order to send out electronic newsletters, to enable users to participate in message boards and forums, among other things. Scribe sends out newsletters to subscribers on a regular schedule (depending on the newsletter), and occasionally sends out special editions when they determine subscribers would be particularly interested in a particular development or Scribe initiative. Except as set forth in the "Sharing of the Information" Section described below, Scribe does not, and will not, disclose, rent or share this information received about an individual user with third parties. Scribe uses tracking information to determine which areas of their sites users like and don't like based on traffic to those areas. Scribe does not track what individual users read, but rather how well each page performs overall. This helps Scribe continue to build a better service for you. Scribe creates aggregate reports on user preferences and traffic patterns to create a more useful and effective site for their users.

SHARING OF THE INFORMATION

Scribe uses the above-described information to tailor their content to suit your interests. This is essential to keeping Scribe's online site content relevant to users.

Scribe may need to disclose your Personal Information to third party vendors to fulfill product orders, to process mailings, or to process, analyze, and/or store data. Scribe will attempt to ensure that these entities do not use your Personal Information for any other purpose, and that they have agreed to maintain the confidentiality, security, and integrity of the Personal Information they obtain from us.

As with any business, your Personal Information is also an asset of Scribe and will become part of Scribe's normal business records. As such, Scribe may also disclose your Personal Information to a third party if they decide to sell a line of business to that third party, so you can continue to receive service and information in connection with that line of business with as little disruption as possible. Similarly, in the event of a merger, acquisition, reorganization, bankruptcy, or other similar event, your Personal Information may be transferred to Scribe's successor or assign.

Scribe's online sites may also have message boards and/or chat areas, where users can exchange ideas and communicate with one another. When posting to a message board or chat area, please be aware that the information is being made publicly available online and the user does so at his or her own risk.

REQUIRED DISCLOSURES OF DATA AND INFORMATION

Except as otherwise set forth in this Privacy Policy, Scribe may disclose Personal Information, with or without prior notice to you, when they believe that the law requires it, in response to subpoenas or at the demand of governmental agencies, to protect Scribe's systems or business, to protect other visitors to their online sites, or to respond to an emergency. Scribe also may make disclosures of your Personal Information with your consent.

SECURITY

Scribe operates secure data networks protected by industry standard firewall and password protection systems. Scribe's security and privacy policies are periodically reviewed and enhanced, as necessary and only authorized individuals by Scribe as designated from time to time have access to the information provided by customers.

CONSENT

By using Scribe's online sites, you consent to the collection and use of any Personal Information by Scribe as set for in this Privacy Policy.

CHANGES TO PRIVACY POLICY

Due to changing technological and marketing demands, Scribe reserves the right to change their policies regarding the privacy of your Personal Information in the future. If that happens, Scribe will endeavor to promptly update this Privacy Policy. You should review this Privacy Policy periodically for any posted changes. Your continued use of any of Scribe's various sites, web pages or other online forums or communications following changes to this policy will indicate that you accept the changes.
